1. Why is Providence transitioning ownership of Queen of the Valley Medical Center to NorthBay Health?
Providence has set a bold vision through its 2030 strategic direction: be the best place to give and receive care and to create a delivery model for the future, supported by innovation and positive change. Getting there calls for leadership with courage, compassion, a deep conviction for Mission and care for our communities.
Providence must re-invest in ministries to achieve this vision and uphold its commitment to the health and healing of our communities. To do so, Providence must focus resources. They engaged leaders from across Providence to ask, “Where can we do the greatest good?” and “Where can we be the best place to give and receive care?
Through these conversations, Providence determined that a new owner is the right path for The Queen.
2. Why was NorthBay Health chosen?
NorthBay Health has demonstrated a clear understanding of and care for Providence caregivers and the Napa community, and a commitment to investing in the future of The Queen.
NorthBay Health is a California-owned, locally governed and community-based health system. Their focus will be continuing the values and culture that define The Queen, providing conveniently accessible high-quality care, expanding access, strengthening clinical excellence, and continuing to offer a unified approach to health care delivery.
3. How was this decision reached? Who was involved?
Providence founding Sisters were called to balance community needs with what they could deliver. Today, Providence is called to do the same.
In the tradition of Catholic health care, Providence used the deeply introspective process of discernment with Providence leaders and diverse perspectives to guide them on how to best meet critical considerations of our community, such as investing in the common good, fidelity to caregivers, continued care for the poor and vulnerable and whole person and spiritual care. Ultimately, Providence determined that a new owner is the right path for The Queen.
4. What is the discernment process?
Collective discernment is rooted in reflection and deep listening. It promotes dialogue and the sharing of diverse perspectives and emotions, ensuring Providence takes the time needed to make a thoughtful, sound decision in alignment with its Mission.
Discernment participants bring their hearts and minds into the process, and all involved are deeply committed to doing the right thing for our communities, caregivers and Providence.
Through this deeply introspective process, Providence was guided to an organization who strives to earn the trust of patients and families, becoming their health care partner of choice at every stage of life. This commitment echoes The Queen’s long-standing mission to serve all, especially those who are vulnerable, ensuring that no one is left behind in their time of need.
5. What still needs to happen before the transition is final?
Now that a definitive agreement has been reached, the proposed transition will move through the regulatory review process. Providence will continue to operate The Queen until the proposed transition occurs. Pending regulatory review and approval, the transition is expected to occur by the end of 2026.
6. How does this impact patients?
We do not anticipate changes to patient care and patients can continue to see their physicians at current office locations.
7. Will there be any changes to the services currently offered?
Nothing will change today. The Queen will continue to operate as part of Providence while the due diligence and regulatory processes unfold. Pending regulatory approval, the transition is expected to occur by the end of 2026.
8. Will services move from Napa to Fairfield?
No — NorthBay Health’s focus is on serving communities where they live. The Queen of the Valley Medical Center plays an incredibly important role in Napa, and the intent is to continue providing care locally to the Napa community.
9. Will Queen of the Valley Medical Center still accept my insurance?
Insurance coverage remains unchanged, and patients can continue to see their same physicians. Any future updates will be communicated well in advance.
10. How does this impact the caregivers and physicians at Queen of the Valley Medical Center?
Nothing changes today. Through the agreement, NorthBay Health will make several commitments, including continuing existing clinical services and community benefit programs, extending offers of employment with NorthBay Health to actively employed caregivers, working with Providence and its NorCal medical group to transition Napa clinicians to the NorthBay system and continuing to support the foundation in its philanthropic investments in the community.
The organizations will work closely with all caregivers and medical staff to ensure continuity of care for patients. We are still determining details of the ownership transition and don’t have all the answers today.
11. What does this mean for caregivers and physicians in our clinics (ambulatory settings)?
Discussions include Queen of the Valley Medical Center and associated Providence Medical Foundation operated clinics and programs in Napa. Providence clinics will continue without interruption to schedule and see patients for appointments and procedures. NorthBay Health has demonstrated a clear understanding of and care for Providence caregivers and intends to extend offers of employment with NorthBay Health to actively employed caregivers . NorthBay Health and QVMC recognize caregivers and physicians are essential partners in improving community health and will work closely with affiliated groups such as Providence Medical Group, Northern California and independent groups to ensure continuity of care. We are still very early in conversations, and don’t have all the answers today.
12. Does this change anything for NorthBay health team members right now?
No. Nothing changes today. Our operations, roles, and patient care remain the same. The organizations are at the beginning of the process, and many steps remain before any transition occurs.
13. Will this affect jobs or staffing at NorthBay Health?
There are no workforce changes associated with this announcement. Right now, both organizations remain focused on ensuring uninterrupted patient care, supporting our team members and the community.
14. Will there be changes to The Queen’s Catholic mission, brand or identity?
While The Queen will transition to secular ownership, NorthBay Health has agreed to establish a Mission Effectiveness Committee to help guide this transition, ensuring the culture and needs of Napa are represented and acknowledged. Catholic patients will continue to receive spiritual care support during their hospital stays.
15. What does this mean for our donors and The Queen of the Valley Foundation?
The foundation will continue as it is today – a separate not-for-profit organization in support of the health care needs of the community. NorthBay Health has expressed an interest in supporting the critical philanthropic programs in Napa. All gifts received prior to this transformation will be honored as intended and transferred to the foundation. All future gifts will remain local and established funding initiatives underway will continue.
16. What happens next?
While the definitive agreement is an important milestone in the formal process, many steps remain before the potential transition. Next steps are to begin the regulatory review process. Pending regulatory review and approval, the transition is expected to occur by the end of 2026.
